Effective for all purchases through Cosmofillers.com

1. Entire Agreement

Cosmofillers.com is an official platform operated by Acquafiller Inc., and all sales made through this site are subject exclusively to these Terms and Conditions. If you require complete delivery of your orders, please indicate so by marking an “X” in the “Complete Delivery” field on the shipping screen of the customer master record. This indicator will be copied into the order header.

Buyer expressly agrees that the Invoice and these Terms and Conditions represent the full and complete agreement between the parties. Any additional or different terms contained in the Buyer’s purchase orders or communications shall be null and not binding on the Seller unless explicitly agreed to in writing by an authorized officer of Acquafiller Inc.

2. Acceptance of Orders

Orders are considered accepted by Acquafiller Inc. only through:

  • Formal acknowledgment of the order;
  • Acceptable electronic confirmation;
  • Shipment of the goods;
  • Or any conduct that constitutes acceptance under applicable law.

3. Prices

Unless otherwise specified, prices are quoted per unit. Buyer is responsible for all taxes, duties, or governmental charges related to the purchase or transfer of products. Buyer shall not offset payments due with any other obligations.

4. Delivery

All delivery dates are estimates unless otherwise agreed in writing. While Acquafiller Inc. will make reasonable efforts to meet estimated timelines, it shall not be liable for delays or losses arising from such delays.

Estimated FedEx delivery times:

  • North America (USA & Canada): 2–3 business days
  • Europe: 2–4 business days
  • Other countries: 2–6 business days

Orders are shipped from our distribution centers in the UK, Spain, and Latin America.

5. Transportation and Risk of Loss

Shipping method and route are determined by Acquafiller Inc. unless Buyer provides explicit instructions in a timely manner. Title and risk transfer to the Buyer upon delivery to the carrier, regardless of any issues post-delivery or revocation attempts.

6. Cancellation or Modification

Orders may only be canceled with prior written approval from an officer of Acquafiller Inc. Orders already shipped to the carrier are subject to a 25% cancellation fee. Special or custom orders are non-cancellable. Acquafiller reserves the right to cancel orders if the Buyer breaches contract terms or enters insolvency, bankruptcy, or liquidation.

7. Taxes

All applicable taxes or government charges will be added to the invoice. All prices are FOB (Free on Board) Acquafiller’s facilities, and applicable shipping charges will be included in the final invoice.

8. Warranty and Disclaimer

Acquafiller Inc. warrants that all products are free from material and manufacturing defects at the time of shipment. Any product analyses included in the invoice are for informational purposes only and are not warranties unless explicitly stated.

9. Limitation of Liability

Seller’s liability for any claim is limited to the amount paid by the Buyer for the product in question. This limitation applies even if damages result from Seller’s own negligence. All claims must be made within one (1) year of the cause of action.

10. Return Policy

Buyer must inspect products upon delivery and notify Seller in writing within 5 (five) business days of any defect or reason for rejection. Failure to notify within this period will constitute full acceptance of the product.

11. Indemnification

Buyer agrees to defend, indemnify, and hold harmless Acquafiller Inc. and its affiliates from any claims, damages, or losses (including legal fees) arising from:

  • Product misuse or improper handling/storage by Buyer;
  • Unauthorized modification or labeling of products;
  • Breach of contract by Buyer;
  • Any act or omission on the part of Buyer causing injury, property damage, or financial loss.

This includes claims involving negligence or liability related to the use of the products.

12. Payment Terms

Payment is due within thirty (30) days of invoice date. Overdue balances are subject to 1.5% interest per month, or the maximum allowed by law. Buyer shall be responsible for all collection costs, including attorney fees.

13. Governing Law and Arbitration

These Terms are governed by the laws of the United States, United Kingdom, France, and Canada, excluding conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any disputes shall be resolved through binding arbitration in the applicable jurisdiction.
